On the morning of October 10, 2024, at the headquarters of SCI Joint Stock Company addressed at 3F, Tower C, Golden Palace Building, Me Tri Street, Nam Tu Liem District, Hanoi, SCI Joint Stock Company successfully held an online Extraordinary General Meeting Of Shareholders 2024 (“EGMS”).
This EGMS was convened to discuss and approve the reallocation of capital contributions to increase the chartered capital of SCI Energy Company Limited (“SCI Energy Co., Ltd.”), as well as to approve the mobilization of additional capital contributions from strategic investors to increase the chartered capital at SCI Energy Co., Ltd.
The first EGMS’s topic: The EGMS agreed to contribute additional capital to increase the chartered capital of SCI Energy Co., Ltd. (which is 100% owned by SCI Joint Stock Company), in details:
- Current chartered capital of SCI Energy Co., Ltd.: VND50,000,000;
- New chartered capital of SCI Energy Co., Ltd.: VND1,201,491,000,000;
- The mode of capital contribution was approved as follows: Contributing capital to increase the chartered capital for SCI Energy Co., Ltd. by transferring all shares of SCI Joint Stock Company in SCI Lai Chau Joint Stock Company, SCI Nghe An Joint Stock Company, and SCI Quang Tri Joint Stock Company, and allowing SCI Energy Co., Ltd. to receive this capital contribution entirely;
- The EGMS also authorized the Board of Directors (“BOD”) to decide the timing for implementing the capital contribution and to carry out the necessary procedures for increasing SCI Energy Co., Ltd. in accordance with applicable legal regulations.
The second EGMS’s topic: The EGMS approved the policy to mobilize capital contributions from strategic investors to increase the chartered capital at SCI Energy Co., Ltd. (which is 100% owned by SCI Joint Stock Company), specifically as follows:
- The maximum ownership ratio for strategic investors is 49% of the chartered capital of SCI Energy Co., Ltd.;
- After selected the suitable investors, the BOD is authorized to decide the appropriate timing for implementation. If negotiations with the investor are successful, the EGMS delegates to the BOD of SCI Joint Stock Company to choose the management model of SCI Energy Co., Ltd. according to one of the following two types: a company limited with two or more members or a joint-stock company.
- If the BOD decides to convert the company's model from a single-member limited liability company to a joint-stock company before mobilizing additional capital contributions from strategic investors, the price of the additional shares will be decided based on the market price at the time of issuance, and by the BOD of SCI Joint Stock Company, however, to ensure that it shall not fall below 10,000 VND per share.
At the end of the EGMS, all topics presented at the EGMS were approved with a high consensus among shareholders.
